本文主张对在证券交易中因内幕交易而受害的人予以私法上的救济。文章从行为主体、内幕信息、行为要件内幕交易者的主观方面对内幕交易行为进行了界定，并探讨了受害人的诉讼资格、归责原则以及赔偿标准、内部人短线交易责任等问题。文章最后强调，对于受害人的民事救济应当优先于罚金、罚款和没收非法所得。

英文摘要:

This paper stands for that the victims in insiders trade should be relieved by private law. It defines the subjects, inside information, conduct of trade, intention or negligence of the traders. It also inquires into the procedure status of a victim, the criterion of liability and the liability of inside traders. By the end, the author emphasizes that civil relief should be in the priority place, comparing to other punishments.
