      竞业禁止的理论依据是“代理成本”理论、诚实信用和忠实义务原则、合理限制竞争原则。解决竞业禁止权利冲突应遵循限制权利负面外部效应原则、利益平衡原则、合理限制原则。法定竞业禁止属强制性规范,但可经法定程序免除,其义务主体应延及企业高级管理人员。竞业禁止协议是离职雇员竞业禁止义务的唯一依据,同时应根据雇员的离职原因,确定其竞业禁止义务的承担。
英文摘要:
      This paper discusses the relations between the prohibition of business strife and the protection of business secret. It analyzes the theoretical foundations of the prohibition of business strife, conflict of rights and the legal choice, business-strife-prohibition obligation, and business-strife-prohibition agreement for the protection of business secret. The paper also puts forward suggestions on the establishment of the systemfor prohibition of business strife and points out that the labor law should be modified as soon as possible to regulate the legal relations of the prohibition of business strife.
