外资收购我国地方企业国有股已在一些地方出现，这是“国有股减持”一种广义的尝试。这种收购有一些问题需要研究，包括这类收购的具体法律依据；商业市场上的自愿与合意在社会公平性方面是否具有合理性；这种收购中是否具有潜在管理层收购；这种收购对地方就业问题有何影响；政府对此种收购有何行政职责。

英文摘要:

It has appeared in some places a new business that the foreign capital bought out all the state-owned stocks in the enterprises from the local government, which is a new way to reduce the amount of stocks held by government. This kind of purchase possesses dual characters. On one hand, it is achieved through agreement with commercial rationality; on the other hand, it doesn't have any legal base. Thus we shall make research whether such commercial rationality is legitimate according to the social justice, the influence of such purchase to local employment, and the responsibility of the local government to it.
